By-Laws
ARTICLE I – Purpose and Name
Section 1: The name of this Club shall be
SUNCOOK VALLEY SNO-RIDERS.
Section 2: The purpose of the SUNCOOK
VALLEY SNO-RIDERS is to stimulate and
advance the general welfare
and safety of
By Laws snowmobiling, to serve the
interests of snowmobile owners, to defend
such owners as well as
landowners within the club boundaries
against discriminatory legislation,
regulations and burdensome taxation, to
develop a fraternal spirit among local
snowmobile and other winter sport
enthusiasts, to provide a medium or the
exchange of snowmobiling information, to own
or lease property for club uses, and to
perform all desirable and lawful
functions for the successful operation of
the Club and in the general public interest.
ARTICLE II – Membership
Section 1: Membership in the Club shall
consist of a yearly membership.
Section 2: Membership is available to all
snowmobile enthusiasts.
Section 3: Each member shall be entitled to
one vote.
Section 4: The Board of Directors may
establish the qualifications and rights of
members.
Section 5: Applications for membership
shall be made on a membership form given to
a SVSR representative with
the appropriate dues amount.
Section 6: A member may resign from the
Club at any time with no refund of dues.
Section 7: Membership may be terminated by
majority vote of the Board of Directors for
any reason whatever
deemed by the Board to be prejudicial to the
best interest of the Club.
ARTICLE III – Management
Section 1: The management of the Club shall
be vested in the Board of Directors.
ARTICLE IV – Board of Directors
Section 1: The Board of Directors shall
consist of five (5) Directors plus the
President, Vice President, Secretary
and Treasurer, each of whom shall be an
active member of the Club, making a total of
nine (9) Directors. Directors
shall be elected during the April annual
meeting and take office at the close of said
meeting. Each Director shall be
elected to serve for two (2) years or until
his/her successor shall be elected.
Section 2: In case vacancies occur on the
Board of Directors by reason of death,
resignation or otherwise, the
remaining Directors may, at their option, by
majority vote elect a successor for the
unexpired term.
Section 3: A majority of the members of the
Board of Directors shall constitute a quorum
for the transaction of Club
business.
Section 4: Meetings of the Board of
Directors shall be held at such time and
place as may be from time to time fixed
by resolution of the Board of Directors, or
as may be specified in the notice of the
meeting. The Board of Directors
shall hold its regular annual meeting during
the time and at the place of the annual
meeting of the membership.
Upon the request of the President or any
three (3) Directors, the Secretary shall
call a special meeting of the Board of Directors.
ARTICLE V – Dues
Section 1: The club’s dues for the year
will be set by the membership at the annual
meeting in April.
Section 2: A SVSR Membership will consist
of a family membership (adults and children
below the age of 18) or a
single membership (18 years of age and up).
Both types of membership include NHSA dues.
If a member has
already paid their NHSA membership with
another club, then they are exempt from
paying it again.
ARTICLE VI – OFFICERS
Section 1: The officers of the Club shall
be: President, Vice President, Secretary,
Treasurer, Trail Master, Trail
Administrator and Activities
Director (appointed position). Each officer
shall be a resident of the State of New
Hampshire.
Section 2: The officers shall be elected
from the membership by the membership.
Vacancies occurring between
such elections may be filled for the
unexpired term by the Board of Directors at
any Board meeting.
Section 3: All officers shall take office
immediately upon election and hold office
for one (1) year or until their
successors shall have been elected and
qualified.
Section 4: The President shall preside at
all meetings of the Club and of its Board of
Directors, shall appoint
Committees shall be an ex-officio member of
all committees and shall carry out other
responsibilities assigned to
him/her by the By-laws.
Section 5: The Vice President during the
absence or temporary incapacity of the
President, shall perform the duties
and have the powers of the President.
Section 6: The Secretary shall keep all of
the Club’s records, other than financial,
including minutes, roster of
members, lists of committees and their
members, shall send out notices of meetings,
receive applications for
membership in conjunction with the
Treasurer, and discharge all of the usual
secretarial functions of the office
required by the By-Laws.
Section 7: The Treasurer shall have charge
and custody of, and be responsible for, all
funds and securities of the
club, receive and give receipts for money
due and payable to the club from any source
whatsoever. He/she will
deposit all such money in the name of the
club in such banks, trust companies, other
depositories as shall be
selected in accordance with these By-Laws:
to keep and maintain a checking account in
the name of the club from
which he/she will pay all bills of the club
up to $500.00. Any payments made over
$500.00 must be approved by the
Board of Directors. The President or the
Board of Directors may assign such others
from time to time to assist the
Treasurer. A Treasurer’s report shall be
prepared for each Board meeting and regular
meeting.
Section 8: The Trail Master shall supervise
the trails; be liaison between landowners
and the club; make sure signs
are out and taken down appropriately; have
the authority to make the decision to close
trails and notifying the Board
of Directors of such closings and members of
the Club shall abide by those decisions.
He/she shall be free to call
upon any member for assistance in making
his/her plans and trail layouts.
Section 9: The Trail Administrator is in
charge of grant funding; represents the club
at county meetings and
oversees the landowner’s list and sign
orders.
Section 10: All officers shall have such
other powers and duties as designated by the
membership at the annual
meeting.
ARTICLE VII – Fiscal Year
Section 1: The Fiscal Year of the Club
shall commence on the first day of July and
end on the thirtieth day of June.
ARTICLE VIII – Meetings
Section 1: The annual meeting of the
members of the Club shall be held in the
month of April.
Section 2: Regular meetings of the members
of the Club shall be held monthly (excluding
summer months).
Section 3: Notice of meetings will be
published with the date, time and location
of each meeting.
Section 4: Special meetings of the Club may
be called by the Board of Directors, or by
the President, or by any
group of ten (10) active members by giving
five (5) days written notice of the time,
place, and purpose of such special
meetings.
Section 5: A majority of the active members
shall constitute a quorum. Any formal action
taken at any meeting of the
membership shall require a majority vote of
those members present.
ARTICLE IX – Procedures
Section 1: Parliamentary procedures shall
be followed in conducting regular and
special meetings. The order of
business shall be as follows:

4. Treasurer’s Report
5. Secretary’s Report
6. Unfinished Business
7. New Business
8. Announcements
9. Close of Meeting

ARTICLE X – Election Procedure
Section 1: A nominating committee of at
least three (3) persons shall be appointed
by the President from the active
members.
Section 2: The nominating committee shall
place in nomination candidates for election
to the Board of Directors for
each prospective vacancy to be taken from
names of active members.
Section 3: At the annual meeting, the
Nominating Committee’s slate of candidates
shall be shown on the official
ballot, which also shall provide spaces for
write-in candidates, together with the
specific terms of years for which
each candidate is nominated. The official
ballots shall be distributed to the
qualified voting members present, who
shall mark the ballots and deposit them,
unsigned, in the ballot box. A Tally
Committee of two (2) or three (3)
members shall be appointed to count the
ballots and announce the names of those
elected for the various terms.
Article XI – Amendments
Section 1. These By-Laws shall be reviewed
and amended as necessary by a committee
appointed by the
President. The amended By-Laws shall then be
approved by a two-thirds vote of the club
members present and
voting.
Article XII - Volunteer Protection Clause
Section 1: For Purposes of compliance with
Federal and State Volunteer Protection Laws,
all active members will be
considered to be volunteers when performing
duties or tasks in support of the purpose
and mission of the club. An
active member is defined as any member upon
acceptance of application and dues by the
club. The club will
maintain a list of active members.
Article XIII - Dissolution Clause
Section 1: In the event of the dissolution
of the club, all property and money in the
name of the club shall be
donated to a charitable organization or
organizations at the discretion of the
officers and members.
